Scope of Services
Darthtech LLC provides the following core services to residential and commercial clients:
- Supply, installation, and configuration of IP security cameras and surveillance systems
- Resale, deployment, and configuration of cybersecurity software products, including endpoint protection, email security, and patch management solutions
- Microsoft 365 (M365) management and administration
- Network security consulting and implementation
- Asset tracking and IT infrastructure consulting
- Disaster recovery planning and implementation
All work performed by Darthtech LLC is strictly limited to the services and tasks explicitly listed in the Client's approved project proposal, quote, or work order. Darthtech LLC does not provide general contractor, electrical, construction, or structural services.
Out-of-Scope Work & Hourly Billing
Any work requested by the Client that falls outside the agreed-upon project scope will be considered out-of-scope work and is subject to additional charges. The following are non-exhaustive examples of work that falls outside a standard installation or service agreement:
- Any task not explicitly detailed in the original project quote or work order
- Network or IT troubleshooting unrelated to the installed security camera system (e.g., general router issues, internet connectivity problems, unrelated device support)
- Software configuration, customization, or support beyond the initial setup of resold cybersecurity products
- Remediation of pre-existing damage, faulty infrastructure, or non-standard wiring conditions discovered on-site
- Additional programming, custom scripting, or integration work not specified in the original quote
Out-of-Scope Labor Rate
Out-of-scope work will not be performed without verbal or written Client authorization. Darthtech LLC will notify the Client before proceeding and will provide a reasonable estimate of the additional time required.
Pre-Existing Conditions & Site Liability
Darthtech LLC is not responsible for pre-existing conditions at the Client's site, including but not limited to:
- Damaged, corroded, or improperly installed electrical wiring or conduit
- Structural issues, wall damage, or surface imperfections revealed during installation
- Non-standard or code-violating infrastructure that complicates or prevents installation
- Existing network equipment that is faulty, misconfigured, or incompatible with installed systems
If pre-existing conditions are discovered that affect the ability to complete the agreed-upon work, Darthtech LLC will notify the Client immediately. Remediation of such conditions, if performed by Darthtech LLC, will be billed at the out-of-scope rate of $150/hour. Darthtech LLC reserves the right to pause or decline work where site conditions pose safety or liability risks.
Quotes, Proposals & Acceptance
All quotes and proposals provided by Darthtech LLC are valid for 30 days from the date of issuance unless otherwise stated. Prices are subject to change if the scope of work is modified by the Client after quote acceptance.
By signing a proposal, issuing a purchase order, or providing written or electronic approval, the Client acknowledges and agrees to the scope of work, pricing, and these Terms & Conditions in their entirety.
Payment Terms
- Payment is due upon completion of work unless a written payment schedule has been agreed upon in advance
- Invoices not paid within 30 days of the invoice date are subject to a late fee of 1.5% per month on the outstanding balance
- Out-of-scope work is invoiced separately and is due within 15 days of invoice issuance
- Darthtech LLC reserves the right to withhold delivery of equipment, software licenses, or credentials until payment is received in full
Client Responsibilities
To enable Darthtech LLC to perform services efficiently and within the quoted timeframe, the Client agrees to:
- Provide safe, timely, and unobstructed access to all relevant areas of the site
- Ensure that existing network infrastructure (routers, switches, internet service) meets minimum requirements communicated by Darthtech LLC prior to installation
- Disclose any known pre-existing conditions, hazards, or relevant site information prior to the start of work
- Designate an authorized point of contact who can approve changes or additional work on-site in real time
- Provide credentials or administrative access required for software configuration where applicable
Failure to meet Client responsibilities that results in delays, additional labor, or rescheduling may be subject to additional charges at the out-of-scope rate of $150/hour.
Limitation of Liability
To the fullest extent permitted by applicable law, Darthtech LLC's total liability for any claim arising from services rendered shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.
Darthtech LLC shall not be liable for:
- Indirect, incidental, consequential, or punitive damages of any kind
- Data loss, system breaches, or security incidents arising from Client-side negligence or third-party actions
- Damage caused by pre-existing site conditions, Client-provided equipment, or third-party software
- Service interruptions or failures resulting from ISP outages, power failures, or events outside Darthtech LLC's direct control
Third-Party Products & Software
Darthtech LLC is an authorized reseller of third-party products including, but not limited to, Rhombus IP camera systems, Netgear networking equipment, and various cybersecurity software platforms. Warranties, support terms, and end-user license agreements for these products are governed by the respective manufacturers and software vendors.
Darthtech LLC makes no independent warranty on third-party hardware or software beyond what is expressly provided by the manufacturer. Manufacturer warranty claims are the responsibility of the Client to pursue directly, though Darthtech LLC will provide reasonable assistance in facilitating such claims where possible.
Cancellation & Rescheduling
- Cancellations made less than 48 hours before a scheduled service appointment may be subject to a cancellation fee equal to one hour of labor at the standard out-of-scope rate ($150)
- Rescheduling is permitted with at least 24 hours notice at no additional charge
- If Darthtech LLC must cancel or reschedule due to internal reasons, no cancellation fee will be applied and the appointment will be rescheduled at the Client's convenience
Governing Law
These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida. Any disputes arising under these terms shall be resolved in the courts of Seminole County, Florida, and both parties consent to exclusive jurisdiction therein.
Amendments
Darthtech LLC reserves the right to update or modify these Terms & Conditions at any time. The most current version will be published at darthtech.com. Continued engagement of Darthtech LLC services following any update constitutes acceptance of the revised terms.
